These Terms of Service (“Terms”) govern your access to and use of the OutreachFlow platform (the “Service”) operated by OutreachFlow (“we,” “us,” or “our”). By creating an account or using the Service, you agree to be bound by these Terms.

1. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You must verify your email address before accessing the Service.
  • You are responsible for maintaining the security of your account credentials.
  • You must be at least 18 years old to use the Service.
  • One person or entity may not maintain more than one account without prior written consent.
  • You are responsible for all activity that occurs under your account.

2. Description of Service

OutreachFlow is a SaaS platform that provides:

  • Website Discovery — finding websites based on search queries and niches
  • Email Discovery and Verification — finding and verifying contact email addresses for discovered websites
  • SEO Metrics — retrieving publicly available domain authority, traffic, and backlink data
  • Email Account Management — connecting Gmail or custom SMTP/IMAP email accounts for sending
  • Email Warmup — gradually increasing sending reputation of connected email accounts
  • Outreach Campaigns — creating and managing automated email outreach campaigns with AI-generated content
  • Negotiation Management — AI-assisted reply handling and deal negotiation tracking
  • Credit System — a credit-based usage model for various platform features

3. Credits and Billing

3.1 Credit System

  • The Service operates on a credit-based system. Credits are consumed when you use features such as website discovery, email finding, email verification, metrics retrieval, and campaign email sending.
  • Credit costs per action are displayed within the platform and may be updated from time to time.
  • Credits are non-transferable between accounts.
  • Unused credits may expire according to your subscription plan terms.

3.2 Subscriptions and Payments

  • Paid plans are billed on a monthly or annual basis through Stripe.
  • Subscription fees are charged in advance for each billing period.
  • You may upgrade, downgrade, or cancel your subscription at any time through the billing portal.
  • Refunds are handled on a case-by-case basis at our discretion.
  • We reserve the right to change pricing with reasonable notice. Existing subscriptions will be honored until the end of their current billing period.

3.3 Free and Bonus Credits

  • We may offer free credits, bonus credits, or promotional credits at our discretion.
  • Promotional credits may have different expiration terms and are subject to change or discontinuation without notice.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws, including but not limited to anti-spam legislation (CAN-SPAM, GDPR, CASL, etc.). You agree not to:

  • Send unsolicited bulk email (spam) or emails that violate applicable anti-spam laws
  • Use the Service to harass, threaten, or send abusive content to any person
  • Impersonate any person or entity in your outreach communications
  • Send emails containing malware, phishing links, or deceptive content
  • Use the Service to collect or harvest email addresses for purposes unrelated to legitimate business outreach
  • Attempt to circumvent rate limits, credit limits, or other usage restrictions
  • Share, resell, or sublicense your account access to third parties
  • Reverse engineer, decompile, or attempt to extract the source code of the Service
  • Use automated scripts or bots to access the Service outside of the provided interface
  • Interfere with or disrupt the Service or its infrastructure

5. Email Sending and Compliance

5.1 Your Responsibilities

  • You are solely responsible for the content of all emails sent through the Service, including AI-generated content that you approve.
  • You must ensure your outreach campaigns comply with all applicable laws in your jurisdiction and the recipient’s jurisdiction.
  • You must honor opt-out and unsubscribe requests promptly.
  • You must only contact individuals and businesses for legitimate business purposes.

5.2 AI-Generated Content

  • The Service uses artificial intelligence (OpenAI) to generate email content based on your prompts and instructions.
  • AI-generated content is provided as a draft. When approval mode is enabled, you have the opportunity to review, edit, approve, or reject each email before it is sent.
  • We do not guarantee the accuracy, appropriateness, or effectiveness of AI-generated content.
  • You are responsible for reviewing and approving all content sent on your behalf, whether AI-generated or manually written.

5.3 Email Account Connection

  • By connecting your email account (Gmail or custom SMTP/IMAP), you authorize us to send and receive emails on your behalf as part of the Service.
  • You represent that you have the authority to connect and use the email accounts you add to the platform.
  • We may pause or disable sending from your email account if we detect deliverability issues, high bounce rates, or potential abuse.

6. Data and Intellectual Property

6.1 Your Data

  • You retain ownership of all data you upload or create through the Service, including campaign content, contact lists, and templates.
  • You grant us a limited license to process your data solely for the purpose of providing the Service.

6.2 Website and Contact Data

  • Website data and contact information discovered through the Service is sourced from publicly available information.
  • We do not guarantee the accuracy, completeness, or currency of discovered data.
  • You are responsible for verifying the accuracy of any data before using it in outreach campaigns.

6.3 Our Intellectual Property

  • The Service, including its design, features, code, algorithms, and branding, is owned by OutreachFlow and protected by intellectual property laws.
  • These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.

7. Service Availability and Limitations

  • We strive to maintain high availability but do not guarantee uninterrupted access to the Service.
  • We may perform scheduled maintenance, which may temporarily affect availability.
  • Third-party service outages (email providers, API providers) may affect functionality and are outside our control.
  • We reserve the right to modify, suspend, or discontinue any feature of the Service with reasonable notice.

8. Account Suspension and Termination

  • We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or use the Service for unlawful purposes.
  • Upon termination, your access to the Service will cease and your data may be deleted after a reasonable retention period.
  • You may delete your account at any time. Active subscriptions should be canceled before account deletion.
  • No refund of unused credits or prepaid subscription fees will be provided upon termination for cause.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • Email deliverability or campaign results will meet any particular standard
  • AI-generated content will be accurate, appropriate, or effective
  • Discovered website data, email addresses, or metrics will be accurate or current

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUTREACHFLOW SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless OutreachFlow, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • The content of emails sent through your account
  • Any claim by a third party related to your outreach activities

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which OutreachFlow operates, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration or in the courts of competent jurisdiction.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
